Exellyn operates in compliance with all applicable legal and regulatory requirements and continuously works to improve our environmental and social performance across the value chain. We take full responsibility for our actions and expect our suppliers to share this commitment.

Exellyn's (our) business activities rely on strong collaboration with our suppliers. Therefore, we expect all our suppliers to align with our company’s values and commitments to social responsibility, environmental sustainability, effective governance, and ethical business practices.

This Supplier Code of Conduct is based on the principles of the UN Global Compact and sets out the basic principles we expect our suppliers to respect and comply with, reflecting our commitment to creating a responsible and sustainable supply chain that benefits the environment, our business, partners, and society as a whole.

Our commitment to internationally recognized human rights is further described in our Human Rights Policy, which complements this Supplier Code of Conduct.

We expect our suppliers to respect internationally recognized human rights and comply with applicable labour and employment laws. Suppliers should operate in a manner consistent with the principles outlined in our Human Rights Policy. At a minimum, suppliers are expected to uphold the following requirements:

  • Prohibition of child labour, forced labour, slavery and human trafficking;
  • Non-discrimination and equal opportunity;
  • Respectful treatment and freedom from harassment;
  • Safe and healthy working conditions;
  • Respect for freedom of association and collective bargaining, where permitted by law;

customer health and safety

Suppliers must ensure that products supplied to Exellyn comply with applicable product safety, health and regulatory requirements. Supplier must provide, with every product delivered, complete and compliant safety documentation under applicable product safety legislation, including but not limited to EU requirements (CE/RoHS markings, Declaration of Conformity, user instructions in the applicable language(s)), or equivalent standards in the supplier's jurisdiction where these exceed EU requirements. Suppliers must notifyExellyn immediately of any product recalls, safety alerts, or known hazards related to the supplied products.

environmental sustainability

We expect our suppliers to do their utmost to minimize the environmental impacts of their operations, products, and services on a long-term basis. Suppliers are encouraged to implement an environmental management system and are expected to, as a minimum, adhere to the following principles in conducting business operations:

environmental protection

Implement practices that minimize their environmental impact, including but not limited to emissions reduction, energy and water conservation, waste reduction, and responsible use of natural resources.

pollution prevention

Strive to prevent pollution by adopting sustainable practices, managing waste appropriately and sustainably, and reducing emissions of greenhouse gases and other pollutants.

Establish and report on a greenhouse gas reduction goal, look for ways to improve energy efficiency and to minimize energy consumption and greenhouse gas emissions.

environmental legislation

Comply with all applicable environmental laws, regulations, and standards, and obtain and maintain all required permits and licenses.

governance

We expect our suppliers to act ethically and to be honest, transparent, accountable, and trustworthy in all their dealings with other parties. Suppliers are expected to conduct business in accordance with the following principles:

ethical conduct

Conduct business affairs with the highest level of integrity, honesty, and ethical conduct. This includes demonstrating a commitment to fair competition, transparency, and fair business practices, as well as actively preventing malpractices such as corruption, bribery, fraud, or money laundering.

Working in the IT sector, specific attention on ethical conduct is required for conflict minerals. We strive to avoid the use of conflict minerals in the products that we purchase. We expect our hardware / electronic suppliers1:

  • To have a conflict mineral policy in place;
  • To exercise due diligence on mineral sourcing and trade for the products they manufacture, following the OECD Due Diligence Guidance for Responsible Supply Chains of Minerals from Conflict-Affected and High-Risk Areas or an equivalent and acknowledged due diligence framework;
  • To provide us with requested information in a timely manner, confirming the minerals (tin, tantalum, tungsten, gold) in the supplied products originate from conflict-free sources.

Observe and adhere to all applicable laws, regulations, and legal requirements.

data protection and privacy

Respect the privacy and confidentiality of personal data and ensure compliance with applicable data protection and privacy laws and regulations.

anti-corruption

Avoid and not tolerate any form or corruption, bribery, extortion or embezzlement.

conflict of interest

Avoid conflicts of interest that may compromise the supplier's credibility within our company or other exterior parties' confidence in our company.

protection of intellectual property

Respect intellectual property rights and protect confidential information against theft, fraud, and misuse.

commitment and monitoring

Our company expects suppliers to ensure compliance with this Code of Conduct by implementing management systems and control mechanisms when a possible or potential violation has occurred. Suppliers should ensure and monitor their own suppliers to comply with the Code of Conduct or equivalent standards.

grievance mechanism

Exellyn encourages suppliers, partners, customers and other external stakeholders to speak up and report concerns related to any illegal or unethical actions or incidents occurring in relation to our company's operations.  

Reports may include concerns relating to potential violations related to subjects such as human and labor rights, discrimination, harassment, unsafe working conditions, corruption, bribery, unethical conduct, environmental misconduct or violations of applicable laws or company policies.

Reports can be submitted confidentially through internalprojects@infinite-solutions.com. Upon receiving a report, the company will promptly and thoroughly investigate the concern. Once the investigation is complete, appropriate actions will be taken based on the findings and any violations will be remedied in good faith through legitimate processes.

Where possible and appropriate, the whistleblower will be informed of the outcome of the investigation. However, there may be circumstances where confidentiality limits the information that can be shared. Exellyn does not retaliate or allow retaliation against anyone who reports a potential violation.
